It's to do with Marvelman. Or Miracleman, if you prefer that name.

Marvelman was a British comic by Alan Moore. When he was done with it he signed over his portion of the rights to Neil Gaiman, who took it over for a bit until it got cancelled for reasons, including the US company that had bought the rights to publish it going bust.

Todd McFarlane of Image bought those rights and kept threatening to start publishing new, terrible 90s stories featuring the characters.
Gaiman was (and is) absurdly protective of it, for various reasons, it's a baby of his.
He did a deal with McFarlane that if he (Gaiman) wrote for Image then McFarlane would sign him over the remaining rights to Miracleman.
Gaiman created Angela and wrote Spawn comics with her in it.
McFarlane then renegged on the deal. Gaiman spent about 10 years taking him to court over it, it took that long because court discovery revealed the rights issues were much more complicated than everyone thought.

Eventually Joe Quesada of Marvel stepped in with the Big Checkbook and just bought everyone off with money and got all the rights to Miracleman. As part of the deal as a kind of fuck you, Todd gave Neil Angela back.
Joe Quesada then made a deal with Gaiman that if Gaiman gave Marvel Angela and one dollar, as Marvel would revert all the rights to Miracleman to Gaiman and enter a co-publishing deal with him.

Earlier in this history, Gaiman agreed to write Eternals for Marvel to show Joe Quesada he was serious.
The new Eternals movie will be using some of that stuff.

So anyway.
That's why a Spawn character is now owned by Marvel. She was introduced in the Guardians of the Galaxy comic and retconned in as a relation of Thor.
